Terms & Conditions
Please read these terms carefully before engaging our services.
⚡ Effective Date: 24 March 2026
01 — Introduction
Welcome to HUA Tech
These Terms and Conditions ("Terms") govern the relationship between HUA Tech ("we", "us", "our") — a privately-owned, unregistered business operating in Sri Lanka — and any individual or entity ("Client", "you") who engages our services.
By contacting, hiring, or entering into a project agreement with HUA Tech, you confirm that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, please do not proceed with our services.
Note: HUA Tech operates as an informal sole-proprietorship. These terms constitute a binding service agreement between both parties for all projects undertaken.
02 — Services Provided
What We Offer
HUA Tech provides the following professional IT and digital services:
- Custom Website Design & Development (static and dynamic)
- E-Commerce Store Development
- Web Application Development
- IT Solutions and Technical Consulting
- AI Agent Development and Integration
- Business Automation & Workflow Solutions
- UI/UX Design and Branding
- Website Maintenance & Ongoing Support (monthly retainer)
All services are agreed upon in writing (email, messaging platform, or signed brief) before work begins. Any scope changes must be requested in writing and may result in revised pricing and timelines.
Scope Creep: Work outside the original agreed scope will be quoted separately. We will not begin additional work without written approval of the revised scope and any additional cost.
03 — Deposit & Payment Terms
Payment Structure
All projects follow a structured milestone-based payment schedule to protect both parties. The payment structure is as follows:

Upon final handover / launch |
- Work will not commence until the 50% deposit has been received and confirmed.
- The 40% milestone payment is due within 3 business days of approval confirmation. Delays in payment may pause delivery.
- The final 10% is due prior to or upon delivery of source files, hosting access, or final deployment.
- Payments are accepted via bank transfer, online payment platforms, or other agreed-upon methods.
- Late payments (beyond 7 days of due date) may incur a 5% late fee per additional week of delay.
Monthly & Ongoing Projects: For maintenance retainers or ongoing automation/AI services, payment is due at the start of each billing cycle (monthly, in advance). Failure to pay within 5 days of the cycle start may result in service suspension.
04 — Warranty
Post-Delivery Warranty
HUA Tech stands by the quality of its work. All completed projects are covered by the following warranty terms:
- A 10-day warranty period begins from the date of final delivery/launch.
- During this period, we will fix any bugs, errors, or issues that are directly attributable to our development work, at no additional charge.
- The warranty covers technical defects in the delivered build only — it does not cover changes in requirements, new features, or content updates.
One-Time Website Projects: One-time website packages do not include ongoing customisation, feature additions, redesigns, or maintenance after the warranty period expires. Any such work will be treated as a new project and quoted accordingly.
- Issues caused by third-party platforms, hosting providers, plugins, or client-side modifications are not covered.
- After the 10-day warranty period, any support or changes are billable at our standard hourly or project rate.
- Clients who require ongoing support are encouraged to enquire about our monthly maintenance retainer plans.
05 — Cancellations & Refunds
Cancellation Policy
We understand that circumstances change. Our cancellation and refund policy is as follows:
- Cancellations are only accepted within 5 calendar days of the project confirmation date (the date the deposit is paid and the project is formally confirmed).
- To cancel, the client must notify HUA Tech in writing via email or messaging platform within this 5-day window.
Deposit Non-Refundable After 5 Days: If a cancellation request is made after the 5-day window, the 50% deposit is non-refundable. This covers time already invested in planning, research, design concepts, and project setup.
- If cancellation is requested within 5 days and no substantive work has begun, a full refund of the deposit may be considered at HUA Tech's discretion.
- If cancellation is requested within 5 days but work has already commenced, a partial refund may be issued after deducting the cost of work completed, at HUA Tech's assessment.
- The 40% and 10% milestone payments are non-refundable once those milestones are reached and delivered.
- For monthly/ongoing retainers: cancellations require a minimum of 14 days written notice before the next billing cycle. No refunds are issued for the current billing period already paid.
06 — Intellectual Property
Ownership of Work
Upon receipt of full and final payment for the project, all intellectual property rights to the custom-developed website or deliverable transfer to the Client. Until full payment is received:
- All code, design assets, and deliverables remain the sole property of HUA Tech.
- The Client may not use, distribute, or deploy any portion of the work prior to full payment.
The following rights and assets are retained by HUA Tech regardless of project completion:
- The right to display the project in our portfolio, case studies, and promotional materials (unless the client requests confidentiality in writing prior to project commencement).
- Any pre-existing frameworks, libraries, templates, tools, or internal components used during development — these are licensed to the client for use in their project only, not resold or redistributed.
Third-Party Assets: Any licensed fonts, stock images, plugins, or software included in your project are subject to their respective third-party licences. The client is responsible for obtaining and maintaining appropriate licences for such assets post-delivery.
07 — Client Responsibilities
Your Obligations
To ensure timely and successful project delivery, the Client agrees to:
- Provide all required content (text, images, logos, brand assets) within agreed timelines.
- Respond to feedback requests, approval checkpoints, and queries within a reasonable timeframe (typically 3–5 business days).
- Ensure all provided content is legally owned by the client or properly licensed for use.
- Not share access credentials or project materials with unauthorised third parties.
Delays caused by the client (including late content delivery, delayed approvals, or non-payment) may result in revised timelines at no fault of HUA Tech. Extended delays of more than 30 days due to client inaction may be treated as project abandonment, and the deposit will be forfeited.
08 — Limitation of Liability
Our Liability
HUA Tech's total liability for any claim arising from a project shall not exceed the total amount paid by the client for that specific project.
- HUA Tech is not liable for any indirect, incidental, or consequential damages, including but not limited to loss of revenue, data, or business opportunity.
- We are not responsible for downtime, data loss, or security breaches caused by third-party hosting providers or services integrated into your project.
- We make no guarantee of specific search engine rankings, traffic volumes, or business outcomes resulting from our work.
09 — Changes to Terms
Updates & Revisions
HUA Tech reserves the right to update, modify, or replace these Terms and Conditions at any time. Changes will be effective immediately upon publication on our website.
- The effective date at the top of this document will reflect the most recent update.
- Existing clients under active projects will be notified of material changes via email or direct message.
- Continued engagement with HUA Tech after changes have been published constitutes acceptance of the revised Terms.
We encourage clients to review this page periodically to stay informed of any updates.
10 — Governing Law
Jurisdiction
These Terms and Conditions are governed by and construed in accordance with the laws of Sri Lanka. Any disputes arising from these terms or services provided by HUA Tech shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.
In the event of a dispute, both parties agree to first attempt resolution through direct negotiation in good faith before pursuing formal legal action.
